NOODLES REWARDS PROGRAM TERMS AND CONDITIONS

The Noodles & Company Noodles Rewards Program (the “Program”) is offered by Noodles & Company (“Noodles”, “we”, or “us”). These Terms and Conditions (“Terms”) apply to our Noodles Rewards Program described below, but not to any other website, mobile Program, product, service, or program offered by us. These Terms of Use are a legal and binding agreement between you and Noodles governing your participation in the Program, and which includes its content, information, services, and features.
Please read these Terms carefully as they apply to your enrollment and participation in the Noodles Rewards Program. If you do not agree to these terms, then you cannot participate in the Noodles Rewards Program.
PROGRAM CONTENT
This Program and all content, information, and other materials featured, displayed, contained, and available on or through this Program (collectively, the “Content“) is owned by or licensed to Noodles and is protected by U.S. and international copyright, trademark, trade dress, patent, and/or other intellectual property laws. Subject to your compliance with these Terms, Noodles grants you a personal, non-exclusive, non-transferable, limited right to access, use, display, and download the Content for noncommercial purposes only. You may not otherwise copy, reproduce, distribute, transmit, display, perform, reproduce, publish, license, modify, create derivative works from, sell, or exploit, in whole or in part, this Program or the Content.
You agree to use this Program and the Content in accordance with these Terms and all applicable laws and regulations. Noodles may prohibit access, use, conduct, communications, or content that Noodles, in our sole discretion, deems to be harmful to this Program, the Content, users, us, our brand, or any other person or entity, or that violates these Terms and/or applicable law.
MODIFICATIONS
We may modify these Terms from time to time and you will be bound by the new terms. Your continued participation in the Noodles Rewards Program after any modification confirms your acceptance of the modifications.
Additionally, Noodles may at any time, for any reason, and without notice or liability to you: (1) suspend or terminate operation of or access to this Program or any portion thereof; (2) change, revise, or modify this Program or any portion thereof; (3) interrupt the operation of this Program or any portion thereof for maintenance and support; (4) impose limits on certain features and services, or restrict access to the Program; and/or (5) terminate the authorization, rights, and license granted herein. Upon termination, the rights and licenses granted to you herein shall terminate, and you must cease all use of the Program.
NOODLES REWARDS PROGRAM
The Noodles Rewards Program is available at participating Noodles & Company restaurants in the United States.
Noodles Rewards Members receive benefits that may include menu update news, special Sneak Peek invitations, Reward Member Tastings, contests and sweepstakes. At times, purchases at Noodles may provide members with an opportunity to receive a surprise reward, such as free or discounted menu items, Noodles swag, and gift cards.
The Noodles Rewards Program is your key to unlocking Noodles Rewards. Members may receive the following benefits:
- Special Rewards and Bonus Perks may be awarded at any time, just for being a fan!
- Online Ordering – Use the Program to save your favorite orders, location and information for quick pick-up service.
- Try new menu items through Rewards Exclusive events.
- Learn about the latest and greatest menu news.
Noodles Rewards and rewards points received through the Program are promotional and have no cash value. There is no cost or membership fees to join the Program.
ELIGIBILITY
You may participate in the Program if you: (1) are a legal resident of the United States; (2) at least 18 years of age at the time you enroll; and (3) have an active, valid e-mail address. Corporations, partnerships, limited liability companies, or other legal entities may not enroll in the Program.
REGISTRATION & ENROLLMENT
You may enroll in the Noodles Rewards Program and create a Noodles Rewards account (“Account”) in one of the following ways:
- Download the Program to your iPhone® or Android™ device. Follow the prompts to create an account and register. This section applies to any version of the Program that you acquire from iTunes – App Store or Google Play – Store. Please note that (1) you are responsible for ensuring that your devices are compatible with iTunes App Store or Google Play Store, and (2) Noodles (not Apple or Google) is responsible for the Program and the Noodles Rewards.
- Visit Noodles’ website at noodles.com/rewards. Follow the prompts to create an account and register.
In order to register and participate in the Program, you must provide Noodles with your first and last name, email address, phone number and date of birth, favorite Noodles location and password. Noodles may periodically request additional information to help us get to know you better. Your Account is personal to you and may not be sold, transferred or assigned to, or shared with family, friends or others. You may have only one Noodles Rewards Account.
You are responsible for maintaining the confidentiality of the information you hold for your Account. Our Rewards Program functionally requires that we share personal information with affiliates. For further details, view our Privacy Policy. You agree to notify Noodles immediately of any unauthorized use of your Account, or any other breach of security. You can notify us by emailing our Guest Relations team: [email protected]. You may be held liable for losses incurred by Noodles or any other Program user or visitor due to someone else using your Account due to your failure to keep your login information secure and confidential.
COMMUNICATING WITH OUR MEMBERS
As a part of the Noodles Rewards Program, Noodles will send you transactional, informational, and promotional messages and/or offers. These communications may be in the form of SMS, push notifications through the Program, email, and/or any other ways you select when you enroll in the Program. If your contact information changes, or if you wish to change or update your contact information or the method by which we send you messages, please log into your Account and update your contact information or preferences. If you would like to update your email address, you will need to reach out to our Guest Relations team: [email protected].
EARNING POINTS
Points are awarded for making qualified purchases at Noodles & Company and are based on the tier in which a Member is placed. For more information on tiers and point accrual, please see the Program Tiers section below. To earn points through the Noodles Rewards Program, Members may place a qualifying order through order.noodles.com while signed into their account, scan their Noodles Rewards app at the register when ordering, or provide the Noodles Ambassador with the registered phone number associated with their account at the time of purchase. Certain purchases and transactions are excluded from point accrual, including but not limited to orders placed through third-party delivery services, purchases of Noodles gift cards, purchases of alcoholic beverages, tips, delivery fees, and applicable sales or other transactional taxes. Points are rounded to the nearest whole number. Noodles & Company may also allow Members to earn points through promotions, milestone achievements, or challenges. Any such points will be awarded pursuant to the terms and conditions of the applicable promotion. Points for qualifying purchases are awarded to one Noodles Rewards account only and may take up to 48 hours to appear. If a qualifying order is refunded, any points awarded for that order will be deducted from the Member’s account, which may result in a negative points balance if the points have already been redeemed.
SPENDABLE POINTS VS QUALIFYING POINTS
Points awarded to a Noodles Rewards account are recorded as both Spendable Points and Qualifying Points. Spendable Points may be redeemed for rewards offered through the Program and will expire 210 days following the date they were earned. Redeeming Spendable Points does not affect tier progression. Qualifying Points, on the other handhowever, are used solely for the purpose of tracking a Member’s tier status and cannot be redeemed. A Member’s tier status is determined by the number of Qualifying Points earned within a rolling 365 day post-transaction period.
PROGRAM TIERS AND TIER GRANTS
The Program consists of three tiers of participation: Classic, Signature, and Premier. Members in the Classic tier earn eight (8) points for every one dollar ($1) spent. Members in the Signature tier earn ten (10) points for every one dollar ($1) spent. Members in the Premier tier earn twelve (12) points for every one dollar ($1) spent. New Members are automatically enrolled in the Classic tier upon registration.
When a Member earns the requisite number of Qualifying Points to advance to a higher tier, the Member is issued a Tier Grant. A Tier Grant secures the Member’s status in that tier for 365 days from the date of issuance. Following each transaction, a Member’s account will be reevaluated based on the total number of Qualifying Points earned in the preceding 365 days. If the Member continues to meet the threshold for their current tier, a new Tier Grant may be issued, thereby extending their status for an additional twelve (12) months. If the Member does not meet the threshold during reevaluation, the Member’s tier status will adjust to the highest tier for which the Member qualifies based on their Qualifying Points earned during the preceding 365 days. For example, consider a Member who regularly spends approximately $35 every other month. While in the Classic tier, the Member earns eight (8) points per dollar spent, resulting in 280 points earned per visit. Over several visits, the Member’s Qualifying Points accumulate until the sixth visit within the year, at which time the Member surpasses 1,601 points and advances to the Signature tier. Upon reaching Signature, the Member is issued a Tier Grant securing Signature status for 365 days. If the Member makes no additional purchases, the Signature status will expire at the conclusion of that 365 day period. However, if the Member continues to make purchases, each subsequent transaction will trigger a reevaluation of the Member’s Qualifying Points earned in the preceding 365 days. If the Member’s rolling total remains at or above the Signature threshold, a new Tier Grant will be issued, thereby extending the Signature status. If the Member’s rolling total falls below the threshold after 365 day evaluation period, the Member will be reassigned to the tier for which their Qualifying Points total qualifies.
REDEEMING POINTS & REWARDS
As a Noodles Rewards member, you are eligible to redeem points for certain offers. You must access the “Rewards” section while signed in to your Noodles app on the “Home” tab or desktop at order.noodles.com under the Rewards menu by clicking “My Noodles Rewards”. You must have enough points in your account in order to redeem an offer. If the offer is available for you to purchase with your points, you will see “Spend Points” highlighted in red. To purchase the reward, click “Spend Points” and confirm on the next screen.
You will present the barcode to the Noodles Ambassador at the time of purchase or click “Order Ahead” to apply it to an online order.
Once you select an offer to purchase with your points, the offer must be redeemed within 60 days of the date and time of purchase. If the offer is not redeemed within 60 days, it will expire and you will lose the offer and the points. You can check the expiration of your reward by clicking on the reward and then clicking the “i” icon in the top right corner.
Only one Noodles Rewards account may be used per transaction to purchase a reward with points. Only one reward can be applied per transaction and cannot be combined with any other offers, coupons or promo codes.
Noodles Rewards Members may receive surprise and delight rewards throughout the year and bonus rewards based on Members’ referrals, purchase history and profile settings. These rewards are subject to their own terms and expiration dates. These offers will be found in the “Rewards” section of your account when signed in to the app or online at order.noodles.com.
ADDITIONAL REWARDS PROGRAM TERMS
Noodles reserves the right to terminate your Account and/or your participation in the Noodles Rewards Program if we determine in our sole discretion that you have violated these Terms and Conditions, you have more than one (1) account, or that the use of your account is unauthorized, deceptive, fraudulent or otherwise unlawful. Noodles may, in its sole discretion, suspend, cancel, or combine Accounts that appear to be duplicative, and may refuse to allow you to re-enroll in the Noodles Rewards Program. Noodles reserves the right to terminate an Account if the account has been inactive for Twelve (12) months.
Noodles has the right at any time, with or without giving you prior notice, to:
- Modify, end or cancel the Program and/or any specific Reward
- Change any Reward or other Program benefit we offer
- Change the requirements for receiving Rewards
- Change the time you have in which to use a particular Reward
- Change the dollar value amount for points
- Change the points required for each tier
- Change any other feature of the Program
If we end the Program, Rewards and points you have earned but not used will expire on the date the Program ends. You may not redeem any Rewards after the end date of the Program.
NO WARRANTIES
THE PROGRAM, CONTENT, AND THE NOODLES REWARDS ARE PROVIDED ON AN “AS IS”, AND “AS AVAILABLE” BASIS, AND NOODLES HEREBY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, NOODLES DOES NOT GUARANTEE THAT THE PROGRAM OR CONTENT WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT MAKE ANY WARRANTIES OR REPRESENTATIONS REGARDING THE COMPLETENESS, CORRECTNESS, ACCURACY, ADEQUACY, USEFULNESS, TIMELINESS OR RELIABILITY OF THE PROGRAM OR ANY INFORMATION, PRODUCTS OR SERVICES WE PROVIDE, OR ANY OTHER WARRANTY, THE INFORMATION, MATERIALS, PRODUCTS AND SERVICES PROVIDED ON OR THROUGH THE PROGRAM MAY BE OUT OF DATE, AND NOODLES MAKES NO COMMITMENT AND ASSUMES NO DUTY TO UPDATE SUCH INFORMATION, MATERIALS, PRODUCTS OR SERVICES. THE FOREGOING EXCLUSIONS OF IMPLIED WARRANTIES DO NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
LIMITATIONS OF LIABILITY
IN NO EVENT SHALL NOODLES BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY DAMAGES (DIRECT OR INDIRECT) WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE ARISING OUT OF OR IN CONNECTION WITH THIS PROGRAM (INCLUDING ITS MODIFICATION OR TERMINATION), THE CONTENT, THE NOODLES REWARDS PROGRAM, OR THESE TERMS, WHETHER OR NOT NOODLES MAY HAVE BEEN ADVISED THAT ANY SUCH DAMAGES MIGHT OR COULD OCCUR AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY. BECAUSE SOME STATES DO NOT PERMIT THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, IN SUCH JURISDICTIONS, LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH STATE LAW.
ELECTRONIC COMMUNICATIONS
When you visit the Program or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on the Program. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You further agree that any notices provided by us electronically are deemed to be given and received on the date we transmit any such electronic communication as described in these Terms.
INTERNATIONAL USERS
This Program is controlled, operated, and administered by Noodles from our offices in the United States of America. We make no representation regarding use of this Program outside of the United States. You may not use this Program or export any portion of it in violation of U.S. export laws and regulations. If you access this Program from locations outside of the United States of America, you understand and consent to the transfer of your personal information to, and the collection, processing and storage of your personal information in, the United States and other countries. The laws in the U.S. regarding personal information may be different and less protective than the laws of your state or country.
GOVERNING LAW/VENUE
This Program is governed by and subject to the laws of the State of Colorado, USA and, where applicable, U.S. federal law, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction and venue of the courts located in Colorado for any disputes arising out of these Terms or the Noodles Rewards Program. Notwithstanding this provision, you agree that Noodles may apply for injunctive or other equitable relief in any court of competent jurisdiction.
PRIVACY
Please review Noodles’ Privacy Policy located at /privacy-policy/ (the “Privacy Policy”) to understand Noodles’ privacy practices. Noodles’ Privacy Policy is incorporated herein and governs your use of the Program.
GENERAL PROVISIONS
All or any of Noodles’ rights and obligations hereunder may be assigned to a subsequent owner or operator of the Program in a merger, acquisition or sale of all or substantially all of Noodles’ assets. If, for any reason, a court of competent jurisdiction determines any provision of these Terms or any portion thereof to be unenforceable, such provision will be enforced to the maximum extent permissible so as to give the intended effect thereof, and the remainder of these Terms will continue in full force and effect. Noodles’ failure to act with respect to a breach by you or others does not waive Noodles’ right to act with respect to that breach or subsequent or similar breaches.
